The flexibility of the traditional partnership has long been acknowledged, as has the variety of commercial uses it can be put to. Introduction of the limited partnership further increased the appeal of, and range of potential uses for, such structures.

Although greatly favoured by the private equity industry as a form of regulated investment fund, the limited partnership has a far broader range of potential applications and can be equally useful in unregulated form as an investment structure for as few as two co-investing partners.

The degree of flexibility afforded by current partnership legislation ensures that the structure can be tailored to accommodate a wide variety of rights, entitlements and obligations. This, coupled with the possibility of tax transparency and limited liability, has continued to ensure the ongoing appeal of such structures in the eyes of potential limited partners.

Our in-house team of legal and administrative professionals is experienced in the establishment, registration and ongoing administration of limited partnerships, including those structured as regulated collective investments schemes and as unregulated private investment vehicles. In addition, we work closely with legal advisers and regulators to determine the correct regulatory treatment, if any, applicable to such structures and their participants and to obtain appropriate clearances, licenses and authorisations. In most instances, we administer the operations of both the general partner and the partnership itself whilst our in-house team of legal and administration professionals ensures that such administration is carried out in accordance with the applicable limited partnership agreement and any side letters that might apply. At the same time, we aim to ensure that such structures remain compliant with applicable legislation and regulations.
